Why construction withholding tax concerns clients
Construction withholding tax is not only a matter for the performing company. Under the conditions of § 48 EStG, the recipient of the service must make a tax deduction. For your company this means: commissioning a construction service and then paying the invoice in full without checking the exemption can create a liability risk. Therefore organise the document check before the first payment.
The statutory deduction is generally 15 percent of the consideration. Under the statutory rule, the consideration includes the remuneration including VAT. This is not an additional price surcharge by the subcontractor, but a deduction and remittance obligation of the client, insofar as the conditions are met and no exception applies.
When § 48 EStG is generally applicable
The provision concerns construction services in Germany for an entrepreneur within the meaning of the statutory reference or for a legal person under public law. Construction services are services that serve the construction, repair, maintenance, alteration or removal of structures. Whether a specific electrical, assembly or fit-out service falls under this must be assessed based on the actual content of the service.
It does not follow that every invoice from a foreign craftsman is automatically subject to the deduction. A mere designation as assembly, service or subcontractor invoice does not decide the question either. Describe the work traceably and present the tax classification to your tax adviser if the scope is unclear. This also applies to mixed contracts and subsequently extended services.
The origin of the contractual partner is not the only criterion. The topic can also be relevant for a domestic provider. Conversely, a foreign company is not automatically exempt from all German obligations. A fixed checking routine for construction services prevents the same question from being treated differently depending on the origin of the team.
What an exemption certificate does
An exemption certificate under § 48b EStG is issued on application by the competent tax office under the statutory conditions. If you hold a valid certificate covering the specific case at the time of payment, the tax deduction can be waived. Do not just check whether some PDF exists, but whether it matches the performing contractual partner and the payment.
The certificate can be limited in its duration, scope or the recipient of the service. A document from an earlier project cannot therefore be adopted unchecked. An exemption that begins after the payment date does not automatically resolve the question for an earlier payment either. Record the contracting party, scope and temporal validity together.
The exemption is not a general confirmation that the order as a whole has been legally reviewed. It replaces neither the A1 nor insurance, qualification certificates or the check of genuine self-employment. Separate these documents in your project file and assign a responsible person to each check. This prevents a known document from concealing other open questions.
How to check before every relevant payment
Start with the name of the performing company and the identification details. Do they match the contract and invoice? Then check the expiry date and possible restrictions. Check whether an updated certificate is required. In case of doubt, use suitable official verification channels or clarification via your tax adviser and document the result.
File the certificate in accounting so that it can be assigned to the specific payment. Receipt in the site email inbox alone does not ensure that the paying department knows about it. A release before payment with document, check date and responsible person is sensible. The same attention applies to partial payments as to the final invoice.
If a project runs beyond the validity of the exemption, set a reminder. Request the new certificate in good time and check it before the next payment. If the contracting party changes, the document situation must also be re-matched. A team change alone and a change of the performing company are different processes.
Do not generalise thresholds and exceptions
Besides the valid exemption, § 48 EStG also knows amount thresholds. Generally a limit of 5,000 euros is mentioned; for certain service recipients who exclusively carry out the statutorily designated VAT-exempt rental transactions, a limit of 15,000 euros applies. This higher limit is not a general privilege for every landlord or every property business.
For the check, the construction services already provided and expected to be provided in the calendar year by the same provider to the same recipient must be added together. Splitting across several invoices or construction phases does not make the annual view unnecessary. Have the conditions and your forecast checked instead of looking at a single small invoice in isolation.
Further statutory details can also be decisive in individual cases. This overview cannot replace an individual tax assessment. If your company carries out different activities or manages several properties, you should clarify the applicable exception particularly carefully. A valid matching exemption often remains organisationally the clearer document path.
What happens if no matching exemption exists?
If no applicable exemption exists and no exception applies, the deduction and remittance obligation can exist. § 48a EStG regulates the declaration and remittance generally by the tenth day after the end of the relevant month. Coordinate the concrete handling with your accounting and your tax adviser. Do not simply pay in full in the hope of submitting the document later.
The recipient of the service can be liable for a tax deduction not made or not made correctly. The exact liability assessment depends on the circumstances and the statutory rules. An unclear certificate should therefore not be treated merely as an administrative flaw. Clarify it before payment and keep the check traceable.
