These general terms and conditions apply exclusively to companies engaging Premium Worker, s. r. o. for subcontractor teams on a contract-for-work basis. This is not temporary employment. Individual written agreements take precedence over these terms.
2. Offer and contract
Offers state the service, team, site, period and hourly rate. A contract is formed through the agreed order and contract for work or written confirmation. Changes are agreed in writing. A website form does not constitute a binding order.
3. Services and our obligations
We organise the agreed self-employed skilled worker teams as well as A1 certificates, the tax exemption certificate, business liability insurance, accommodation and travel. Scope and evidence are defined in the contract. Materials and unagreed special equipment are not included. Independent performance as a contract for work remains decisive.
4. Obligations of the client
The client provides access, necessary permits, timely project-related information, safe work areas, safety instruction and coordination with other trades. The client names a contact person and confirms weekly timesheets promptly. Project coordination does not replace employment-law integration or temporary employment.
5. Remuneration and hours
The agreed hourly rate and the contractual scope apply. The basis is traceable weekly timesheets. Deviations and objections must be clarified promptly. Accommodation and travel are included in the agreed all-in rate; additional services are agreed in advance.
6. Invoices and payment
Monthly invoicing. Payment within 14 days with 3% discount or within 30 days net, unless the contract provides otherwise. For new customers an appropriate advance payment may be agreed in advance. Statutory consequences of default remain unaffected.
7. Replacement guarantee
If an assigned fitter is not suitable, we provide a free replacement within 5 working days. The client communicates the specific reason early and enables an appropriate handover. Project scope and necessary safety requirements remain to be observed.
8. Liability
Liability is governed by the contract and mandatory law. Limitations apply only to the extent legally permissible; no limitation in case of intent, gross negligence or mandatory liability for life, body and health. Unavoidable events beyond reasonable control are notified immediately; the parties coordinate effects and solutions.
9. Confidentiality
Both parties protect confidential business and personal information, use it only for the cooperation and disclose it only to authorised persons. Statutory disclosure obligations remain unaffected. This duty also applies after the end of the contract.
10. Non-solicitation
The client undertakes not to solicit or directly engage the craftsmen introduced or assigned in the course of the cooperation, bypassing Premium Worker, for the same project-related service need. Scope, duration and any consequences require a proportionate individual agreement; mandatory law remains unaffected.
11. Termination
Duration and ordinary termination are governed by the contract for work. In case of material breaches, statutory and contractual rights apply; where sensible, a reasonable period for remedy must be set beforehand. Services performed and evidenced up to termination are to be invoiced.
12. Law and jurisdiction
Slovak law applies unless mandatory law provides otherwise. The place of jurisdiction is Žilina, Slovakia, insofar as this can be validly agreed in a B2B relationship and is legally permissible.
13. Final provisions
If a provision is invalid, the remainder of the contract remains effective to the extent legally permissible. The invalid provision is replaced by the statutory rule or a permissible agreement of the parties. Side agreements and changes are documented in writing.
